Terms of Use

Effective date: September 3, 2026

These Terms of Use ("Terms") are a binding agreement between you and Quantivant Holdings Inc, a Georgia corporation operating as Voxenger ("Voxenger," "we," "us," "our"), governing your use of the Voxenger website, mobile applications, phone numbers, calling, messaging, and related services (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please read Section 8 (Emergency services), Section 16 (Limitation of Liability), and Section 17 (Arbitration and Class Action Waiver) carefully. They limit your legal rights, including your right to a jury trial and to participate in a class action.


1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You must not be barred from using the Service under the laws of the United States or your country of residence, and you must not appear on any government sanctions or denied-party list.

By using the Service you represent that you meet these requirements. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it, and "you" includes that organisation.


2. Your account

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us immediately at support@voxenger.com if you suspect unauthorised access.

We may require you to verify a mobile number or email address. Verification SMS is sent only after you give separate SMS consent, as described in Section 2A. We may refuse, suspend, or terminate an account that provides false information or is used in breach of these Terms.


2A. SMS program — messages from Voxenger to you

These SMS program terms are required by United States mobile carriers for 10DLC registration. They apply to application-to-person text messages Voxenger sends to a personal mobile number you provide. They supplement, and do not replace, our Messaging Terms and Privacy Policy.

Program (brand) name. Voxenger, operated by Quantivant Holdings Inc.

Product description. Voxenger is a unified communications as a service (UCaaS) platform. When you choose to verify or link a personal mobile number, we send SMS to that number for one-time password (OTP) and account verification, and related account-security notices about that verification. Voxenger does not send marketing or promotional text messages.

How you opt in (express written consent). SMS consent is collected separately from agreeing to these Terms or the Privacy Policy. On the public sign-up page at voxenger.com/signup, on the public sign-in screen, and on “Use my phone number” / “Link your own number” screens (web, iOS, Android, and desktop), you must check an unchecked box that states:

I agree to receive SMS from Voxenger for OTP and account verification. Message frequency may vary. Msg & data rates may apply. Reply STOP to opt out or HELP for help. We do not sell or share your mobile information with third parties for promotional or marketing purposes.

Checking the box and requesting a code is your consent to receive those SMS messages at the number you enter. You can create an account with Google or Apple without providing a mobile number and without opting into SMS. Consent to receive SMS is not a condition of purchase.

Types of messages and cadence. You can expect OTP and account-verification codes, and occasional security or account notices related to that verified number. Message frequency may vary. Typical volume is a small number of messages when you sign in or link a number.

Cost. Message and data rates may apply. Your mobile carrier may charge you for messages you send or receive. Voxenger does not charge a separate fee for OTP SMS.

Customer care. Email support@voxenger.com, or write to Quantivant Holdings Inc, 3372 Peachtree Road Northeast, Atlanta, GA 30326, United States. Reply HELP or INFO to any Voxenger message for the same information.

Opt out. Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, or OPTOUT to any Voxenger message to stop messages from us at that number. You will receive a single confirmation that you have been unsubscribed and that no further messages will be sent. Reply START, UNSTOP, or YES to resume.

Privacy. Mobile numbers and SMS consent are handled as described in the Privacy Policy. Your mobile information will not be sold or shared with third parties for promotional or marketing purposes. All sharing categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties except the platform providers, phone companies, and vendors who assist in delivering the messages.

Carriers. Mobile carriers are not liable for delayed or undelivered messages.

Member-originated SMS and MMS. If you have an assigned Voxenger number, you may send texts to people you choose. Those are your messages. Recipients may reply STOP to that number, and we will stop delivering your further messages to them. You are responsible for having a lawful basis to contact each recipient. See Section 6 and the Messaging Terms.


3. The Service

Voxenger is a unified communications as a service (UCaaS) platform. It provides:

  • a telephone number assigned to your account, capable of placing and receiving voice calls and text messages;
  • messaging, voice calling, and video calling between members over an internet connection;
  • end-to-end encryption for in-app member messaging (see Section 3A);
  • optional AI writing and translation features (see Section 3B and the Privacy Policy);
  • a public profile with a shareable link, contact card, and short-form video;
  • optional appointment scheduling;
  • an optional Premium subscription that may include a permanent phone number, AI features, and a verified profile mark.

The Service is an internet-based communications service. It depends on your internet connection, your device, and networks we do not control. We do not guarantee uninterrupted or error-free operation.


3A. End-to-end encryption for in-app messages

Voxenger uses end-to-end encryption to protect in-app messages while they are in transit between members' devices, preventing interception by third parties during delivery. For those conversations, encryption and decryption happen on your device. Firebase and our servers are designed to store and transmit ciphertext for in-app chat, not the plaintext of those messages, and not your private keys.

SMS and MMS are different. Messages that travel over the public telephone network (carrier SMS/MMS) are not end-to-end encrypted by Voxenger; they are subject to carrier handling and ordinary telephony confidentiality rules.

Limits. End-to-end encryption protects message content in transit between devices. It does not prevent a person you message from copying, forwarding, or screenshotting content. Device compromise, backups you control, or features you choose to use that send content to our servers (such as optional AI features) are outside that transit protection.


3B. Optional AI features (Reply, Rewrite, Translate)

The Service may offer optional AI-assisted features, including:

  • AI Reply — a suggested reply to a conversation;
  • AI Rewrite — a rewrite of a draft you have typed;
  • AI Translate — a translation of a recent incoming message.

These features are separate from end-to-end encryption.

Voxenger uses end-to-end encryption to protect messages while they are in transit between devices, preventing interception by third parties during delivery. This encryption is separate from any on-device AI features, such as AI-assisted reply suggestions, which process message content locally after it has already been securely delivered to your device. If AI reply, AI rewrite, or AI translate features require server-side processing, message content may be transmitted to our servers or third-party AI providers solely for the purpose of generating a suggested response or translation, and is not stored beyond what is necessary to provide that feature. Choosing to use the AI rewrite, AI reply, or AI translate feature is the equivalent of the user actively inviting an additional participant, our AI system, into that specific message exchange, similar to adding a member to a group conversation. This feature is optional and is only activated when the user chooses to use it.

Further detail on what is sent, where it is processed, and what is retained is in section 4A of the Privacy Policy.

You remain the sender. AI output is placed in your composer or shown as a translation for you to review. Nothing is sent as a message unless you send it yourself. You are responsible for what you ultimately send.

Access. AI features may be limited by trial period, phone-number status, or a Premium subscription, as shown in the app at the time of use.


4. Phone numbers

Assigned Voxenger numbers. Telephone numbers we assign through our carrier partners are a public resource administered by regulators. We assign a Voxenger number for your use for as long as your account is in good standing. You do not own that number and acquire no ownership or property right in it.

Trial and assignment. A Voxenger number may be assigned during a trial period. If you do not activate a paid subscription before the trial ends, or if your subscription lapses, we may reclaim the number and reassign it to another user. Reclaimed numbers cannot be recovered.

Optional personal mobile number. You may verify and link a personal mobile number that you already hold with your own carrier. That personal number remains yours with your carrier. Linking it to Voxenger does not transfer or port it to us by default, does not make us your mobile carrier, and does not replace your traditional phone service.

Discovery. Other members may find your account on the Service using discovery keys associated with your account — including your username, display name, your assigned Voxenger number, and a personal mobile number you have optionally linked. A linked personal number is an additional discovery key; it does not replace the others. When you are signed out of the Service, members who have an assigned Voxenger number may reach that linked personal number over the public telephone network. Unlink the number if you do not want that.

Outbound calling and messaging on the public telephone network. When you have an assigned Voxenger number, calls and texts that travel over the public telephone network originate from that Voxenger number. A linked personal number is not used as the carrier “From” number for those outbound communications.

Reassignment risk. Voxenger numbers assigned to you may have been used by someone else previously. You may receive calls or messages intended for a prior holder. This is a normal characteristic of the telephone network.

Porting. We may, at our discretion and subject to carrier rules and any applicable fees, support porting a Voxenger number to or from Voxenger. Porting out requires your account to be current and the number to be active.

Reclamation for cause. We may reclaim a Voxenger number immediately if it is used in violation of Section 6 or the Acceptable Use Policy, or if a carrier or regulator requires it.


5. Subscriptions, billing, and cancellation

Plans. Access to a phone number and certain features may require a paid subscription. When subscriptions are offered, fees are presented at the point of purchase through the applicable app store or payment provider. Fees may change over time; the amount shown at purchase controls for that purchase.

Trial. Where a free or reduced-fee trial is offered, it converts to a paid subscription at the end of the trial period unless you cancel first.

Automatic renewal. Subscriptions renew automatically for successive periods at the then-current fee until cancelled. By subscribing, you authorise us to charge your payment method on a recurring basis.

Cancellation. You may cancel at any time in your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You keep access until then. Cancelling releases your assigned Voxenger number at the end of the period.

Refunds. Fees are non-refundable except where required by law or as described in our Refund Policy.

Fee changes. We may change subscription fees. When a change would affect your renewal, we will give reasonable advance notice, and you may cancel before it takes effect.

Taxes and surcharges. Fees exclude taxes and regulatory fees, which may be added where applicable.

Failed payment. If a payment fails, we may suspend the Service and reclaim your number after a reasonable notice period.


6. Acceptable use

You agree not to use the Service to:

  1. violate any law, regulation, or third-party right;
  2. send unsolicited, bulk, or automated messages, or engage in spam, phishing, smishing, or fraud;
  3. harass, threaten, stalk, defame, or abuse any person;
  4. impersonate any person or entity, or misrepresent the origin of a call or message, including spoofing caller ID with intent to defraud or cause harm;
  5. transmit content that is unlawful, sexually exploitative of minors, or that incites violence;
  6. distribute malware or attempt to disrupt, probe, or gain unauthorised access to the Service or its infrastructure;
  7. resell, sublicense, or provide the Service to third parties as a communications service without our written agreement;
  8. use automated means to access the Service, scrape data, or create accounts in bulk;
  9. circumvent usage limits, filters, opt-out mechanisms, or security controls;
  10. use the Service for high-volume marketing, robocalling, autodialling, or prerecorded voice broadcasts.

Our Acceptable Use Policy and Community Guidelines form part of these Terms. Breach may result in immediate suspension or termination without refund, and may be reported to carriers, regulators, or law enforcement.

Messages you send are yours. You are solely responsible for having a lawful basis to contact each recipient, for complying with the Telephone Consumer Protection Act and equivalent laws, and for honouring opt-out requests promptly.


7. Your content

You keep ownership. You retain all rights in the content you create, upload, or transmit ("Your Content").

Licence to us. You grant Voxenger a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting, transmit, and display Your Content solely to operate, secure, and improve the Service. For content you publish publicly on your profile, this licence extends to displaying it to others through the Service and in profile previews and links you share. This licence ends when you delete the content or your account, except for copies retained in backups or where required by law.

Your responsibility. You represent that you have the rights to Your Content and that it does not infringe anyone's rights or violate any law.

Our discretion. We are not obliged to monitor content, but we may review, remove, or restrict any content that we reasonably believe breaches these Terms.


8. Emergency services (911)

Voxenger supports 911 emergency calling on assigned US Voxenger phone numbers through our carrier, Telnyx. This section is part of these Terms. The complete 911 Disclosure Notices (United States and Canada) are at voxenger.com/911 and are incorporated into these Terms.

How 911 works on Voxenger. When you claim a Voxenger number you register a US service address. That address is provisioned to the number for emergency routing. If you dial 911 from that number, the call is delivered to emergency services associated with the registered address. 911 uses the address you registered, not live GPS. If you move, travel, or the address is wrong, help may be sent to the wrong place.

You must keep the address current. Register a real US street address where you can be found, and update it in the Service whenever it changes. 911 may be delayed or unavailable until a valid address is on file.

VoIP 911 is not the same as mobile or landline 911. Voxenger is an internet-based service. A 911 call may fail or be delayed if you have no power, no internet, a poor connection, during a network or carrier outage, or if your account or number is suspended. Location may not be as precise as a mobile handset. If you cannot complete a 911 call on Voxenger, use a traditional mobile or landline phone.

Direct 911. You do not need to dial a prefix or access code to reach 911 from a Voxenger number.

Inform others. Anyone who may use your account or device should know how Voxenger 911 works and that they should keep another phone available when the internet is down.

Not a substitute in every situation. Keep a traditional mobile or landline available when you need a backup path to emergency services. To the maximum extent permitted by law, Voxenger and Quantivant Holdings Inc are not liable for failed, delayed, or misrouted emergency calls caused by an inaccurate address, a power or internet outage, carrier or network failure, or circumstances outside our reasonable control.


9. Recording

Laws in many jurisdictions require the consent of some or all parties before a call may be recorded. If you use any recording capability, you are solely responsible for obtaining every consent the law requires. Voxenger is not liable for your failure to do so.


10. Third-party services

The Service relies on third parties including telecommunications carriers, cloud providers, and payment processors, and may link to third-party sites. We are not responsible for their acts, omissions, availability, or content, and your use of them may be governed by their own terms.


11. Intellectual property

The Service, including its software, design, and the Voxenger name and logo, is owned by Quantivant Holdings Inc and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, reverse engineer, or create derivative works from it except as permitted by law.


We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to support@voxenger.com with: identification of the work, identification of the material and its location, your contact details, a statement of good-faith belief that the use is unauthorised, a statement under penalty of perjury that the notice is accurate and you are authorised to act, and your signature. We may remove material and terminate repeat infringers.


13. Suspension and termination

By you. Cancel at any time in your account settings. Deleting your account releases your number and removes your data as described in the Privacy Policy.

By us. We may suspend or terminate your access, with notice where practicable, if you breach these Terms, if your payment fails, if we are required to by law, carrier, or regulator, or if your use presents a risk to the Service or other users. Serious breaches — fraud, spam, illegal content, threats — may result in immediate termination without notice or refund.

On termination. Your licence ends, your number is released, and Sections 7, 11, 14, 15, 16, 17, and 19 survive.


14. Indemnity

You agree to indemnify and hold harmless Quantivant Holdings Inc and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, Your Content, your breach of these Terms, your violation of any law including messaging and recording consent laws, or your infringement of anyone's rights.


15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free; that calls or messages will be delivered, delivered on time, or delivered to the intended recipient; that carriers will not filter or block messages; or that defects will be corrected. Delivery of calls and messages depends on networks outside our control.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.


16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXENGER AND QUANTIVANT HOLDINGS INC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

These limits apply in particular to any claim arising from failure to complete a call or deliver a message, and from failed, delayed, or misrouted emergency calls described in Section 8.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.


17. Dispute resolution, arbitration, and class action waiver

Informal resolution first. Before filing a claim, you agree to contact us at support@voxenger.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, seated in Atlanta, Georgia, or conducted remotely at your election. The Federal Arbitration Act governs this section.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property.

CLASS ACTION WAIVER. YOU AND VOXENGER AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND VOXENGER WAIVE THE RIGHT TO A JURY TRIAL.

Opt out. You may opt out of arbitration by emailing support@voxenger.com with the subject "Arbitration Opt-Out," including your name and account email, within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.


18. Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. Where arbitration does not apply, the state and federal courts located in Fulton County, Georgia have exclusive jurisdiction, and you consent to that jurisdiction and venue.


19. General

Changes. We may update these Terms. Material changes will be notified by email or in the Service at least 30 days before taking effect, except where a change is required immediately by law. Continued use after the effective date constitutes acceptance.

Entire agreement. These Terms, including Section 8 (Emergency services), together with the Privacy Policy, Acceptable Use Policy, Community Guidelines, Messaging Terms, and Refund Policy, are the entire agreement between us.

Severability. If any provision is unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control, including network failures, natural disasters, and government action.
